1. PLATFORM ROLE AND LIMITATION
1.1 Marketplace Only
ReadyProNow operates solely as a technology marketplace connecting Clients with independent Contractors.
1.2 No Service Provision or Control
ReadyProNow does not perform, supervise, manage, or control any services. All services are provided exclusively by Contractors.
1.3 No Guarantee or Verification Warranty
While ReadyProNow may collect or review certain documentation (e.g., licenses, insurance), we do not guarantee:
• Contractor qualifications
• Licensing validity
• Insurance coverage
• Quality, safety, or outcomes of work
While ReadyProNow may collect or review certain documentation, users remain responsible for independently verifying Contractor qualifications, licensing, insurance, and suitability for the requested services.
Users accept full responsibility for evaluating Contractors.
1.4 No Employment Relationship
No employment, partnership, joint venture, or agency relationship is created between ReadyProNow and any Contractor.
2. USER ACCOUNTS
Users must:
• Provide accurate and current information
• Maintain account security
• Accept responsibility for all activity
ReadyProNow may suspend or terminate accounts at its sole discretion.
3. CLIENT TERMS
3.1 Booking
Bookings are requests, not guarantees of service.
3.2 Pricing
Service call pricing is shown upfront and agreed upon at booking.
3.3 Site Conditions
Clients must provide:
• Safe working conditions
• Proper access
• Accurate job details
3.4 Additional Work
All additional work must be:
• Clearly described
• Pre-approved
• Priced in advance
3.5 Definition of Service Call
“Service Call” means the initial scheduled visit booked through the Platform for diagnosis, assessment, consultation, estimate preparation, or completion of minor services, whether or not additional work is ultimately approved.
4. CONTRACTOR TERMS
4.1 Eligibility Requirements
Contractors must maintain at all times:
• Valid licenses (where required)
• Minimum $2,000,000 liability insurance
• Compliance with all laws (including WSIB where applicable)
Proof must be provided upon request.
4.2 Service Obligations
Contractors agree to:
• Respond promptly to job notifications
• Maintain reasonable response times
• Honor accepted bookings
• Deliver professional service
Failure may impact account standing.
4.3 Availability & Responsiveness
Contractors must:
• Monitor Platform communications when active
• Respond within a commercially reasonable timeframe
Repeated missed responses or bookings may result in:
• Reduced visibility
• Suspension
• Termination
4.4 Additional Work Reporting
Contractors must report all additional work originating from Platform leads.
Failure to report constitutes:
• Fee avoidance
• Material breach of agreement
4.5 Non-Circumvention
Contractors may not:
• Accept off-platform work from Platform-generated clients
• Redirect Clients to avoid fees
This restriction applies:
• During use of Platform
• For 1 month after initial connection
After the 1-month restriction period, Platform-origin relationships must not be intentionally structured to avoid applicable Platform fees.
4.6 Independent Contractor Status
Contractors are fully responsible for:
• Work performed
• Pricing
• Taxes
• Compliance
5. PAYMENTS AND FEES
5.1 Initial Service Call Payments
The initial service call fee is paid by the Client through the ReadyProNow platform at the time of booking or confirmation.
ReadyProNow collects this payment on behalf of the Contractor and facilitates payout to the Contractor after the scheduled service visit, subject to these Terms.
5.2 Additional Work Payments
Any approved work beyond the initial service call (“Additional Work”) is contracted directly between the Client and Contractor unless otherwise stated.
Payment for Additional Work is made directly from the Client to the Contractor.
ReadyProNow is not responsible for collecting, processing, or enforcing payment for Additional Work unless expressly agreed.
5.3 Contractor Platform Fees
Contractor agrees to pay all applicable subscription or platform fees, including: • $15 + applicable tax per contact unlock
• 5% of the total value of Additional Work
• Monthly or yearly membership fees
Fees are non-refundable unless otherwise stated.
5.4 Payment Authorization
Contractors authorize ReadyProNow to automatically charge any stored payment method for:
• Contact unlock fees
• Additional work fees
• Monthly or yearly membership fees
• Outstanding balances
5.5 Late Payments
Unpaid balances are subject to 2% monthly interest (24% annually) until paid in full. ReadyProNow may suspend Contractor access until balances are resolved.
5.6 Collections & Enforcement
ReadyProNow may:
• Send accounts to collections
• Pursue legal action
Contractor agrees to a personal guarantee of payment obligations.
5.7 Audit Rights
ReadyProNow reserves the right to:
• Request records
• Audit transactions related to Platform-generated work
Failure to comply may result in termination.
6. CANCELLATIONS & NO-SHOWS
• 24-hour cancellation window
• Late cancellations may be charged in full
• No access = full charge
7. REFUNDS & DISPUTES
• Service fees are non-refundable once the Contractor arrives prepared and reasonably capable of performing the agreed service.
• Complaints must be submitted within 48 hours
• ReadyProNow may mediate but is not obligated
8. CHARGEBACKS
Improper chargebacks may result in:
• Account termination
• Collections
• Legal action
9. PROHIBITED CONDUCT
Users may not:
• Provide false information
• Commit fraud
• Harass or threaten others
• Use Platform unlawfully
10. DISCLAIMER OF WARRANTIES
Platform provided “as is” with no guarantees regarding:
• Service quality
• Contractor performance
• Platform uptime
11. LIMITATION OF LIABILITY
ReadyProNow is not liable for:
• Contractor services
• Property damage or injury
• Indirect or consequential losses
Maximum liability = fees paid in last 3 months.
12. INDEMNIFICATION
Users agree to indemnify ReadyProNow against claims arising from: • Platform use
• Services performed
• Breach of Terms
13. TERMINATION
ReadyProNow may suspend or terminate accounts:
• For violations
• For risk or legal exposure
• At its discretion
14. POLICIES INCORPORATION
All Platform policies (including cancellation, refunds, and service standards) are incorporated into these Terms by reference and form part of this agreement.
In case of conflict, these Terms prevail.
15. PRIVACY
Use of the Platform is subject to the Privacy Policy.
16. MODIFICATIONS
We may update these Terms at any time. Continued use constitutes acceptance.
17. GOVERNING LAW
Ontario, Canada laws apply.
18. DISPUTE RESOLUTION
Disputes will proceed through:
1. Good faith negotiation
2. Mediation
3. Courts of Ontario
